This End-User License Agreement ("Agreement") is a legal agreement between you and NOVA Brandworks ("Company") governing your use of our software applications, integrations, and related services (collectively, the "Software"). By accessing or using the Software, you agree to be bound by the terms of this Agreement.
Subject to your compliance with this Agreement, NOVA Brandworks grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software solely for your internal business purposes.
You may not: (a) copy, modify, or distribute the Software; (b) reverse engineer, decompile, or disassemble the Software; (c) sublicense, lease, or lend the Software to any third party; (d) use the Software for any unlawful purpose or in violation of any applicable laws or regulations.
The Software and all related intellectual property rights are and remain the exclusive property of NOVA Brandworks. This Agreement does not grant you any ownership rights in the Software.
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.
IN NO EVENT SHALL NOVA BRANDWORKS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.
This Agreement is effective until terminated. We may terminate this Agreement at any time if you fail to comply with any term herein. Upon termination, you must cease all use of the Software and destroy any copies in your possession.
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.
